1. Description of Our Service

SUIVI is a software-as-a-service (SaaS) platform that provides social media analytics, strategic insights, and growth management tools. Our Service is designed to help content creators, businesses, and agencies ("Users," "you") make data-driven decisions to enhance their social media presence. The Service analyzes publicly available data from social media platforms and, with your authorization, data from your own connected accounts to provide performance metrics and strategic recommendations.

2. User Accounts and Responsibilities

• Eligibility: To use our Service, you must be at least 16 years old.
• Account Registration: You must provide accurate, complete, and current information during the registration process. You are responsible for safeguarding your password and for any activities or actions under your account.
• Account Security: You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscriptions, Payments, and Cancellations

• Paid Services: Certain features of the Service are only available through a paid subscription ("Paid Services"). We offer various subscription plans (e.g., monthly, yearly).
• Billing: We use a third-party payment processor (our "Merchant of Record") to bill you through a payment account linked to your account. 5. Intellectual Property Rights

• Our Intellectual Property: The Service and its original content, features, and functionality are and will remain the exclusive property of SUIVI and its licensors. Our trademarks may not be used in connection with any product or service without our prior written consent.
• Your Content: You retain all ownership rights to the content and information related to your connected social media profiles. By using our Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display this data solely for the purpose of operating and providing the Service to you.

6. Data Usage and Platform Analysis

Our Service is designed to provide transformative analytical value. By using our Service, you acknowledge and agree to the following:

• Analysis of Public Data: A core function of our Service involves the analysis of publicly available data from social media profiles. Our methodology is aligned with established legal precedents, which affirm the legitimacy of accessing and analyzing data that is in the public domain.

7. Termination

• Termination by You: You may terminate your account at any time by discontinuing use of the Service or by contacting us.
• Termination by Us: We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, if you breach these Terms. We also reserve the right to terminate any account for any reason with reasonable notice.

8. Disclaimers and Limitation of Liability (IMPORTANT)

• "AS IS" Service: Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.
• No Guarantee of Results: SUIVI is an analytical and strategic tool. We do not guarantee any specific results, such as an increase in followers, reach, or engagement. Your success depends on many factors beyond our control, including your content quality and strategy execution.
• Limitation of Liability: In no event shall SUIVI, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability to you for any and all claims related to the Service shall not exceed the total amount of fees paid by you to us in the six (6) months prior to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless SUIVI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Service, or from a violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Sultanate of Oman, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in Muscat, Oman.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
